KFWA Charter

Amended January 14, 1997

  1. The name of the intended association is "Kinzua Fish & Wildlife Association", established May 1983.
  2. The association is formed for the purpose of contributing to the restoration and preservation of fish and wildlife food and cover; creating a more livable environment, resulting in the reproduction and propagation of the fish and wildlife of Kinzua Country. The association is located in McKean and Warren Counties of Pennsylvania. Our goals will benefit anyone living here and/or harvesting our natural resources.
  3. There shall be eleven members on the Board of Directors. They are the governing body; deciding all matters by a majority vote of a quorum. Their job is to see the club perform its functions as listed in the Charter, as defined under purpose and goals. A Board Member's position will be replaced by the Board of Directors, in the event of resignation, moving, or death. New Board Members will be elected by the Board of Directors, from within the general membership. To maintain Board Member status; he/she must participate in at least three association sanctioned projects a year, and live in the immediate area. The intent of the Board of Directors being the sole governing body, is to insure that the association forever maintains its original purpose and goals.
  4. Officers will be elected annually, by and from within the Board of Directors. The offices shall be President, Vice-President, Secretary, & Treasurer.
  5. Our goals, as deemed necessary and feasible, will be determined by the Board of Directors, and limited to the time and funds available.
  6. The association is to be a "working association" and not a "social association".
  7. Its members will receive no moneys for the normal functions of the club, nor reimbursement for the use of equipment; except by vote of the Board of Directors, in the event expenses exceed what is expected in the normal functions of the club.
  8. Business meetings will be conducted at least quarterly, or as determined by the President.
  9. The fiscal year shall be the same as the calendar year. An annual audit shall be conducted by the Board of Directors, and be open to any member who wishes to review it. All finances will be handled by the treasurer and through a local bank. Two of three signatures will be required on all checks (President, Vice-President, or Treasurer).
  10. An annual newsletter will be mailed or delivered to all its members at least once a year, covering all projects of the club.
  11. Dues will be set annually for all forms of membership in the Association.
  12. The minimum age for all types of membership, other than youth, shall be at least eighteen years of age. Any youth participating in a project must be accompanied by a parent member or guardian member of the association.
  13. The following are the various types of membership:

    1. Charter Member - An original founding member. Charter Members will remain on Board of Directors until moving, resignation, or death.
    2. Honorary Member - Good for one year, and must carry a majority vote of the Board of Directors. Honorary members will pay no dues.
    3. Associate Member - There are five categories of Associate Members:

      1. Individual - Good for one year and based on an annual contribution as set by the Board of Directors annually.
      2. Club - The number of individual membership cards given will be determined by the club contribution. Special recognition will be sent to the club. Minimum contribution will be $25.00.
      3. Master - Based on a $25.00 or better contribution by an individual. Special recognition will be sent to the individual.
      4. Business or Camp - Based on a $25.00 or better contribution. They will receive six membership cards for each $25.00 contributed, plus special recognition.
  15. Membership card #000001 is forever issued to the family of Paul Hess, in memory of his spirit and love of Kinzua, and his desire to "Return the Favor" for all Kinzua gave him, thereby inspiring us to do the same.
  16. The following are the Charter Members: Lee Teel (President), George Plafcan (Vice-President), Richard Bartels (Secretary), Adrian C. Eckert (Treasurer), David Sickles, Guy Waldman, John P. Slewinski, Jodi Z. Larson, Leland B. Swanson, Milton Swanson, Herbert Anderson.
  17. Distribution of assets on dissolution will be as follows: Equipment used for projects on the Allegheny Reservoir will go to US Army Corps of Engineers. Equipment used for projects in the Allegheny National Forest will go to US Forest Service. Any money that remains will be divided equally between US Army Corps of Engineers and US Forest Service.
